Articles of Association

PT BFI Finance Indonesia Tbk ("the Company") was established under the name PT Manufacturers Hanover Leasing Indonesia on April 7, 1982, based on Notarial Deed No. 57 executed before Kartini Muljadi, S.H., Notary in Jakarta. The deed of establishment was approved by the Minister of Justice (now the Ministry of Law and Human Rights) of the Republic of Indonesia through Decree No. C2-2091-HT.01.01.TH.82 dated October 28, 1982, and was announced in the State Gazette No. 102 dated December 21, 1982, Supplement No. 1390.

Based on a deed executed before Inge Hendarmin, S.H., Notary in Jakarta on August 14, 1986, the Company's name was changed from PT Manufacturers Hanover Leasing Indonesia to PT Bunas Finance Indonesia Tbk. This change was approved by the Minister of Justice of the Republic of Indonesia through Decree No. C2-9677.HT.01.04.TH.86 dated October 7, 1986, and was announced in the State Gazette No. 94 dated November 25, 1986, Supplement No. 1451.

The Company's Articles of Association have undergone several amendments, as follows:

1. Based on Deed No. 116 executed before Aulia Taufani, S.H., as a substitute for Sutjipto, S.H., Notary in Jakarta on June 27, 2001, relating to the change of the Company's name from PT Bunas Finance Indonesia Tbk to PT BFI Finance Indonesia Tbk. This change was approved by the Minister of Law and Human Rights of the Republic of Indonesia through Decree No. C-03668.HT.01.04.TH.2001 dated July 24, 2001, and was announced in the State Gazette No. 35 dated April 30, 2002, Supplement No. 4195.
2. Based on Deed No. 7 dated October 25, 2017, executed before Herna Gunawan, S.H., M.Kn., Notary in Tangerang, regarding the addition of the Company's sharia-based financing business activities. These changes were approved by the Minister of Law and Human Rights of the Republic of Indonesia under Decree No. AHU-0024031.AH.01.02 of 2017, and were received and recorded in the database of the Legal Entity Administration System of the Ministry of Law and Human Rights of the Republic of Indonesia under No. AHU-AH.01.03-0191568 dated November 16, 2017, and were announced in the State Gazette No. 84, Supplementary State Gazette of the Republic of Indonesia No. 36259 dated October 21, 2022.
3. Based on Deed No. 9 dated June 29, 2022, executed before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency. These changes were received and recorded by the Minister of Law and Human Rights of the Republic of Indonesia as evidenced by the Letter of Acceptance of Notification of Amendment to the Articles of Association number AHU-AH.01.03-0271122 dated July 27, 2022, concerning the amendment to Article 15 paragraph 3 on Guarantees and the amendment to Article 3, which had received approval from the Minister of Law and Human Rights of the Republic of Indonesia under Decree No. AHU-0052483.AH.01.02.YEAR 2022 dated July 27, 2022, and were announced in the State Gazette No. 74, Supplementary State Gazette of the Republic of Indonesia No. 31534 dated September 16, 2022.
4. Based on Deed No. 19 dated June 29, 2022, executed before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency. These changes were received and recorded by the Minister of Law and Human Rights of the Republic of Indonesia as evidenced by the Letter of Acceptance of Notification of Amendment to the Articles of Association number AHU-AH.01.03-0271122 dated July 27, 2022, concerning the amendment to Article 15 paragraph 3 on Guarantees and the amendment to Article 3, which had received approval from the Minister of Law and Human Rights of the Republic of Indonesia under Decree No. AHU-0052483.AH.01.02.YEAR 2022 dated July 27, 2022, and were announced in the State Gazette No. 74, Supplementary State Gazette of the Republic of Indonesia No. 31534 dated September 16, 2022.
5. Based on Deed No. 3 dated May 8, 2025, executed before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency. These changes were received and recorded by the Minister of Law and Human Rights of the Republic of Indonesia as evidenced by the Letter of Acceptance of Notification of Amendment to the Articles of Association number AHU-AH.01.03-0142973 dated May 26, 2025, concerning the amendment to Article 15 paragraph 3 regarding the Duties and Authorities of the Board of Directors and Article 21 paragraph 8, and were announced in the State Gazette No. 75, Supplementary State Gazette of the Republic of Indonesia No. 26361 dated September 19, 2025.
6. The latest amendment to the Articles of Association is stated in Deed No. 1 dated June 3, 2025, executed before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency. This change was approved by the Minister of Law and Human Rights of the Republic of Indonesia under Decree No. AHU-0045866.AH.01.02.Year 2025 dated July 14, 2025, concerning Article 4 paragraph 2 on the Company's Issued and Paid-Up Capital as an implementation of the Capital Reduction, and was announced in the State Gazette No. 75, Supplementary State Gazette of the Republic of Indonesia No. 26364 dated September 19, 2025.
