PT BFI Finance Indonesia Tbk (the “Company”) was established under the name PT Manufacturers Hanover Leasing Indonesia on April 7, 1982 based on Notary Deed No. 57 drawn up before Kartini Muljadi, S.H., Notary in Jakarta. The deed of establishment has obtained approval of the Minister of Justice (now the Ministry of Law and Human Rights) of the Republic of Indonesia by virtue of Decree No. C2-2091-HT.01.01.TH.82 dated October 28, 1982 and has been announced in the State Gazette No. 102 dated December 21, 1982, Supplement No. 1390.
Based on the Deed drawn up before Inge Hendarmin, S.H., Notary in Jakarta dated August 14, 1986, the Company’s name was changed from PT Manufacturers Hanover Leasing Indonesia to PT Bunas Finance Indonesia Tbk. The change has received approval from the Minister of Justice of the Republic of Indonesia through Decree No. C2-9677.HT.01.04.TH.86 dated October 7, 1986 and has been announced in the State Gazette No. 94 dated November 25, 1986, Supplement No. 1451.
The Company's Articles of Association have been amended several times, namely based on Deed No. 116 drawn up before Aulia Taufani, S.H., the substitute of Sutjipto, S.H., Notary in Jakarta dated June 27, 2001, in connection with the change in the Company's name from PT Bunas Finance Indonesia Tbk to PT BFI Finance Indonesia Tbk. These changes have received approval from the Minister of Law and Human Rights of the Republic of Indonesia through Decree No. C-03668.HT.01. 04.TH.2001 dated July 24, 2001 and has been announced in the State Gazette No. 35 dated April 30, 2002, Supplement No. 4195.
Based on Deed No. 7 dated 25 October 2017 drawn up before Herna Gunawan, S.H., M.Kn., Notary in Tangerang, regarding the addition of the Company's sharia-based financing business activities. These changes have been approved by the Minister of Law and Human Rights of the Republic of Indonesia No. AHU-0024031.AH.01.02. YEAR 2017 and has been received and recorded in the database of the Legal Entity Administration System of the Ministry of Law and Human Rights of the Republic of Indonesia No. AHU-AH.01.03-0191568 dated November 16, 2017 and currently the changes are still in the process of being announced in the State Gazette.
Based on Deed No. 9 dated June 29, 2020 drawn before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency, regarding amendments to Article 9, Article 10, Article 11, and Article 22 of the Company's Articles of Association in accordance with OJK Regulation Number 15/POJK.04/2020 concerning Plan and Convening of General Meeting of Shareholders of Public Companies. These amendments have been notified and recorded in the database of the Legal Entity Administration System of the Ministry of Law and Human Rights of the Republic of Indonesia No. AHU-AH.01.03-0302995 Year 2020 dated July 23, 2020, and have been announced in State Gazette No. 25, Supplement of State Gazette of the Republic of Indonesia No. 011669 dated March 26, 2021.
The latest amendments to the Articles of Association have been stated in Deed No. 19 dated June 29, 2022, drawn up before Shanti Indah Lestari, S.H., M.Kn., Notary in Tangerang Regency. These amendments have been notified and recorded by the Ministry of Law and Human Rights of the Republic of Indonesia as proven in the Receipt of Notification of Amendments to Articles of Association Number AHU-AH.01.03-0271122 dated July 27, 2022 regarding amendment to Article 15 clause 3 on guarantee and also amendment to Article 3 that has been approved by the Ministry of Law and Human Rights of the Republic of Indonesia with Decree Number AHU-0052483.AH.01.02.Year 2022 dated July 27, 2022.
